Preparation of establishment reports for general cooperatives, articles of association for voluntary organizations, and general meeting documents

Under Article 15 of the Framework Act on Cooperatives, five or more persons qualified as members become promoters, draft the articles of association, obtain a resolution of the inaugural general meeting and then file an establishment report with the Mayor or Do Governor of the city or province where the principal office is located. The Mayor or Do Governor must notify whether the report is accepted within 20 days of receipt, and if neither acceptance nor an extension of the processing period is notified within that period, the report is deemed accepted on the day after the period ends. Once accepted, a report confirmation certificate is issued, and the cooperative comes into existence only after establishment registration, which must be made within 14 days of the day the payment of contributions is completed (Articles 19 and 61). A social cooperative requires establishment authorization from the central administrative agency in charge of its main business rather than a report, and a voluntary association operating without legal personality has no statutory establishment procedure and is organized through its bylaws and the minutes of its inaugural meeting.

The filing office and processing period differ by type.

  2. 02

Promoters and articles of association: Five or more persons qualified as members become promoters, and the articles must contain the statutory items such as the purpose, name and principal office, membership qualifications, the amount and payment method of one share of contribution, handling of surplus, and officers. The name must include the word 'cooperative' and must not duplicate or be confused with the name of another cooperative.

  3. 03

Notice and resolution of the inaugural general meeting: After giving at least 7 days' notice of the date, place, membership qualifications and matters to be resolved, hold the inaugural general meeting and resolve the articles, the business plan and budget, the election of officers and the establishment expenses. A majority of those who submitted consent to establishment before the meeting must attend and at least two-thirds of those present must approve, and at least 3 directors including the chairperson and at least 1 auditor are elected.

  4. 04

File the establishment report: Submit the establishment report to the Mayor or Do Governor with a copy of the articles, the notice and minutes of the inaugural general meeting, the list of officers, the business plan, the income and expenditure budget, the document on shares of contribution and the list of consenting persons. A request for supplementation sets a period of up to 20 days, and the report confirmation certificate is issued within 14 days of submitting the supplemented report.

  5. 05

Payment of contributions and registration deadline: After receiving the report confirmation certificate, the promoters hand over the affairs to the chairperson without delay, and the chairperson sets a date for paying in contributions.
