Drafting Legal Documents

Drafting documents on rights, obligations or proof of facts is an administrative agent's task under Article 2(1)2 of the Certified Administrative Agents Act and Article 2(2) of its Enforcement Decree. It covers documents on transactions such as contracts, agreements, undertakings and claims between individuals or corporations, or between the State or a local government and an individual, as well as documents on legal relationships or proving that certain facts exist. In practice most cases involve contracts, loan agreements (IOUs), settlement agreements, written pledges, letters of undertaking, certified-content mail and statements of fact, and documents are prepared in the client's name. Under the Enforcement Rule of the Postal Services Act, certified-content mail is filed at the post office with the original and 2 copies, and the post office keeps one copy for 3 years from the day after dispatch. A demand (peremptory notice) sent to interrupt the extinctive prescription keeps that effect only if a lawsuit, seizure, provisional attachment or similar step follows within 6 months under Article 174 of the Civil Act.

  • Drafting Difficulty Low

Work completed by drafting documents such as contracts, certified letters or statements of fact, without review by a government authority.

  1. 01

Decide the purpose and document type: First decide whether the goal is a monetary claim, notice of contract termination, settling terms before a dispute, or proving a fact, then choose the document type (contract, settlement agreement, pledge, certified-content mail or statement of fact) and the recipient.

  2. 02

Organize facts and evidence: Arrange the parties' details, the dates and amounts agreed, and what was not performed in date order, and number the contracts, bank transfer records, text messages, emails and photos so they match each statement in the document.

  3. 03

Draft the text: For contracts and settlement agreements, set out the parties, subject matter, amount and payment method, performance deadline, remedies for breach and date of signing as separate items. For certified-content mail, state the facts, the demand and the deadline precisely, without emotional language.

  4. 04

Sign, seal and keep copies: Prepare contracts, settlement agreements and loan agreements in as many identical copies as there are parties, have each party sign or seal them, stamp across pages if there are several, and give one copy to each party. Whether to attach a seal certificate or a certificate of personal signature depends on the document's purpose.

  5. 05

Send certified-content mail: Prepare the original and 2 copies on A4 paper and send them at a post office counter or through the online post office. To also record the date of receipt, request delivery certification at the same time. Keep the sender's copy returned to you as evidence for later steps.

  6. 06

Manage follow-up deadlines: Certified-content mail sent as a demand requires a follow-up step such as filing a lawsuit within 6 months, so record the dispatch and delivery dates. If the other party does not perform, review whether the records can be used for a petition or report filed with an administrative agency.
