Nonprofit Corporation Officer Change, Dissolution and Liquidation Reports

When a director of an incorporated association or foundation under the Civil Act takes office, resigns or is reappointed, Article 52 of the Civil Act requires a change registration at the registry office for the principal office within 3 weeks of the change, and the officer change is reported to the competent authority as set out in the articles of incorporation and the ministry's rules. Only directors' names and addresses are registered, so auditors and other non-director officers are not registered, but reappointment of the same director is still subject to change registration. When the corporation dissolves through expiry of its term, achievement or impossibility of its purpose, revocation of its establishment permit, or a general meeting resolution of an incorporated association, the liquidator (except in bankruptcy) registers the dissolution and reports it to the competent authority within 3 weeks of taking office, and after liquidation ends, registers the completion within 3 weeks and then files a liquidation completion report. Neglecting registration or filing a false report with the competent authority can lead to a fine for negligence on directors, auditors and liquidators under Article 97 of the Civil Act.

You submit the statutory report form and required documents. Once the documents are in order the report is accepted; for some reports the authority checks the contents before accepting it.

  1. 01

Review the articles and officers: Check the number of officers, terms, the appointing body (general meeting or board), convening procedure and quorum, and list who takes office, resigns or is reappointed and the actual date of change. The 3-week deadline for a director change runs from that date.

  2. 02

Prepare resolution documents: The body named in the articles resolves the appointment and minutes are prepared. The notice, attendance and voting result must match the articles, and letters of acceptance are obtained from new or reappointed officers.

  3. 03

Report the officer change: Report the change to the competent authority in the manner set by the articles or the ministry's rules. Forms and attachments differ by authority, so the responsible department's requirements are checked first, and the change registration must still be completed separately within 3 weeks.

  4. 04

Dissolution resolution and report: Fix the cause and date of dissolution and the liquidator, and prepare the property inventory and an outline of how residual property will be disposed of. The liquidator registers the dissolution within 3 weeks of taking office and submits the dissolution report with the articles at dissolution and the general meeting or board minutes.

  5. 05

Creditor notice and permission to dispose of residual property: Within 2 months of taking office, the liquidator publishes a notice at least 3 times asking creditors to file claims within a period of at least 2 months. If the articles name no recipient of residual property, an application for permission is filed with the competent authority to dispose of it for a similar purpose, and property not disposed of reverts to the national treasury.

  6. 06

Liquidation completion report: After collecting claims, paying debts and handing over residual property, the liquidator registers the completion of liquidation within 3 weeks and submits a liquidation completion report to the competent authority, which confirms the registration through the corporate registry certificate.
