Preparation of revenue-generating business plans and budgets for nonprofit corporations and applications for approval of amendments to their articles

A nonprofit corporation may run a profit-making business to the extent needed to achieve its founding purpose, but under Article 38 of the Civil Act the competent authority may revoke its establishment permit if it conducts business outside its purpose, so profits must be used for the purpose business and not distributed to members. If the articles of incorporation have no basis for a profit-making business, an incorporated association amends them with the consent of at least two-thirds of all members and a foundation follows the amendment method set in its articles, and the amendment takes effect only with the competent authority's permission (Civil Act Articles 42 and 45); if a registered matter such as the purpose changes, a change registration is made within 3 weeks. After starting the business, the corporation files a report on commencement of profit-making business with the competent tax office within 2 months of the start date under Article 110 of the Corporate Tax Act, and keeps separate accounts for the profit-making business and other businesses under Article 113 of the same Act. Our administrative office prepares the draft amended articles and the profit-making business plan, and prepares and submits on your behalf the application for permission to amend the articles to the competent authority.

  1. 01

Check the articles and business scope: Review whether the purpose and business clauses of the current articles provide a basis for a profit-making business, and whether the planned business is within the scope needed to achieve the founding purpose, to decide whether an amendment is needed. If a basis already exists, move on to preparing for commencement without amending the articles.

  2. 02

Organize the business plan and use of profits: Decide the type of business, place of business and planned start date, and state concretely in the business plan and income and expenditure budget how profits will be used for the purpose business. Leave out anything that reads as distributing profits to members.

  3. 03

Resolution to amend the articles: An incorporated association resolves with the consent of at least two-thirds of all members (or the quorum set in its articles), and a foundation resolves according to the amendment method in its articles; finalize the draft amendment and keep the minutes.

  4. 04

Apply to the competent authority for permission: Submit the application for permission to amend the articles with a comparison table of the articles before and after, the minutes of the resolution, and the business plan and budget. The amended articles have no effect until permission is granted, so start the profit-making business only after permission.

  5. 05

Change registration and report: If a registered matter such as the purpose of the articles has changed, make a change registration at the location of the principal office within 3 weeks after permission, and report the registration result to the competent authority if the applicable ministry rules require it.

  6. 06

Tax office report and separate accounting: Within 2 months of the start date, the corporation files a report on commencement of profit-making business with the competent tax office, attaching a statement of financial position as of the start date and a copy of its unique number certificate, and applies for business registration if it supplies taxable goods or services. Afterwards, record the profit-making business accounts separately and reflect them in the business performance and settlement reports to the competent authority.
