  1. 1. Check whether the change is subject to a change report

The matters subject to a change report are 6: the articles of association, the location of the principal office, officers (including persons performing the duties of officers), the chairperson's address, the total paid-in contributions and the number of members (Enforcement Decree of the Framework Act on Cooperatives, Article 7(2), newly inserted on June 23, 2026). A change to any other matter in the establishment report is not subject to a change report, and an amendment to the articles of association takes effect only when reported to the Mayor/Do Governor (Framework Act on Cooperatives, Article 16(3)).

  2. 2. Check the reporting timing

For the articles of association, the location of the principal office, officers and the chairperson's address, a change report is filed each time a change occurs. For the total paid-in contributions and the number of members, one change report is filed, based on the end of the fiscal year, within 3 months after that fiscal year ends (Enforcement Decree of the Framework Act on Cooperatives, Article 7(3)). If the principal office moves to another Si/Do, the report is filed with the Mayor/Do Governor having jurisdiction over the new principal office (Enforcement Rule of the Framework Act on Cooperatives, Article 6(3)).

  3. 3. General meeting resolution and minutes

Amendment of the articles of association and the election and dismissal of officers are matters for resolution by the general meeting; amendment of the articles requires the attendance of a majority of all members and the approval of at least two thirds of those present, and election or dismissal of officers requires the attendance of a majority of all members and the approval of a majority of those present (Framework Act on Cooperatives, Article 29). The minutes record the proceedings and results and bear the names and seals or signatures of the chair and at least 3 members elected at the general meeting (same Act, Article 30).

  4. 4. Prepare the change report and attachments

The change report is Form No. 7 of the Enforcement Rule of the Framework Act on Cooperatives, on which the content before and after the change is entered for each item. Depending on the change, only the applicable attachments are submitted among a copy of the articles of association, a copy of the general meeting minutes, the business plan and revenue and expenditure budget after the change, documents proving the reduction of contributions, and the member register (same Rule, Article 6(2)).

  5. 5. Submission to the Mayor/Do Governor and acceptance

The Mayor/Do Governor notifies whether the change report is accepted within 20 days of receipt, and if neither acceptance nor an extension of the processing period is notified within that period, the report is deemed accepted on the day after the period ends (Framework Act on Cooperatives, Article 15(2) and (3)). Once accepted, the change is entered on the back of the report confirmation certificate; the processing period on the form is 20 days and there is no fee (same Act, Article 15-2; Enforcement Rule of the Framework Act on Cooperatives, Form No. 7).

Checked against the statutes on

Statutes and public notices change, so each case needs to be checked individually. Statute titles are given in English for reference. The Korean statutes are the authoritative text.

Check these first

  • The change report on total paid-in contributions and the number of members must be filed within 3 months after the fiscal year ends, and neglecting the report may result in a fine of up to 1,000,000 won (Enforcement Decree of the Framework Act on Cooperatives, Article 7(3); Framework Act on Cooperatives, Article 119(3)1).
  • Because an amendment to the articles takes effect only when reported, the change report should be submitted without delay after the general meeting resolution, and if the amount per share decreased, documents proving the contribution reduction procedure, such as the public notice to creditors, must also be prepared (Framework Act on Cooperatives, Article 16(3); Enforcement Rule of the Framework Act on Cooperatives, Article 6(2)4).

Frequently asked questions

Does a cooperative have to file a change report every time a member joins?
No. The number of members and the total paid-in contributions are reported once, based on the end of the fiscal year, within 3 months after that fiscal year ends (Enforcement Decree of the Framework Act on Cooperatives, Article 7(3)). The updated member register is attached at that time (Enforcement Rule of the Framework Act on Cooperatives, Article 6(2)5).
What matters are subject to a cooperative change report?
6 matters: the articles of association, the location of the principal office, officers (including persons performing the duties of officers), the chairperson's address, the total paid-in contributions and the number of members (Enforcement Decree of the Framework Act on Cooperatives, Article 7(2)). Under the amendment effective June 24, 2026, the latter part of Article 15(1) of the Framework Act on Cooperatives was changed so that only matters prescribed by Presidential Decree require a change report.
When must a change of chairperson or officers be reported?
Each time it occurs. Unlike contributions and member numbers, officers and the chairperson's address have no fiscal-year reporting exception, so after the general meeting resolution, a change report (Form No. 7) with a copy of the minutes is submitted to the Mayor/Do Governor (Enforcement Decree of the Framework Act on Cooperatives, Article 7(3); Enforcement Rule of the Framework Act on Cooperatives, Article 6(2)).
Does an amendment to a cooperative's articles take effect before it is reported?
No. An amendment to the articles of association takes effect only when reported to the Mayor/Do Governor with whom the establishment report was filed (Framework Act on Cooperatives, Article 16(3)). The amendment must be resolved at the general meeting with the attendance of a majority of all members and the approval of at least two thirds of those present (same Act, Article 29(2)).
Is there a fine for not filing a cooperative change report?
Yes. If an officer, employee or liquidator of a cooperative neglects a report or registration, a fine of up to 1,000,000 won may be imposed (Framework Act on Cooperatives, Article 119(3)1). The fine is imposed and collected by the Minister of Planning and Budget or the Mayor/Do Governor (same Article, paragraph (4)).
Can an administrative agent handle a cooperative change report?
Yes. Hwang Yunsang Administrative Office checks whether the change falls under the 6 reportable matters, prepares the amended articles, general meeting minutes and member register, drafts the change report, and submits it to the Si/Do on your behalf. Acceptance is decided by the Mayor/Do Governor, and the cooperative applies for any change registration separately.
